Optimize10® Toolkit: Licence Terms

These terms apply to your purchase and use of any downloadable product made available through www.optimize10.com, whether now or in the future and in any format, including the Optimize10 toolkit workbooks and templates (together, the ‘Materials’). By placing your order, you agree to be bound by these terms.

1. About us

The Materials are protected by copyright and owned by Optimize10 Limited, a company registered in England and Wales under number 14719031 (‘we’, ‘us’). Optimize10® is a registered UK trade mark of Optimize10 Limited (figurative mark UK00003247724; word mark UK00004407420). The purchase and supply of the Materials is facilitated through Payhip Limited (‘Payhip’) under a separate contract between you and Payhip and is also subject to Payhip’s applicable terms.

2. Your licence

On payment, we grant you a non-exclusive, non-transferable licence to use the Materials for transformation work within your own organisation, or for your own professional development, on the terms set out in paragraphs 4, 5 and 6 below.

For the purposes of these licence terms:

‘you’ means the purchaser: the individual who buys the Materials, or the organisation on whose behalf they are bought. Where an organisation buys the Materials, its employees, and contractors working on its own internal transformation may use them for that purpose.

“organisation” means the legal entity identified as the purchaser and does not include any parent undertaking, subsidiary or other group company unless we have agreed otherwise in writing. You must ensure that any contractor given access to the Materials uses them only for your internal transformation work, complies with these terms and deletes or returns all copies when its engagement ends. You remain responsible for its use of the Materials.

3. Consumer cancellation rights

If you are a consumer, you ordinarily have a right to cancel an online purchase during the applicable cancellation period. However, if you expressly consent to the immediate supply of the Materials and acknowledge that doing so will cause you to lose your right to cancel, your right to cancel will end when the download begins. This does not affect your rights where the Materials are faulty, not as described or otherwise do not comply with applicable law.

4. What you may do

5. What you may not do

6. Commercial use, accreditation and licensing

Commercial use of the Optimize10 method or Materials, including consulting and training for third parties, accreditation, certification and trainer status, is available only under a separate written agreement with Optimize10 Limited.

7. Ownership

We and our licensors retain all intellectual property rights in the Materials, including their structure, design and underlying content, and no ownership is transferred to you. You retain ownership of your data and any original content created by you and entered into the Materials. To the extent an adaptation incorporates or reproduces any part of the Materials, our rights in that part remain unaffected.

8. No warranty and limitation of liability

The Materials are provided ‘as is’ for information and professional development purposes and do not constitute professional, legal, regulatory or financial advice. You remain responsible for your own professional judgement and for your governance, regulatory and risk obligations.

If you are a business, our total aggregate liability arising out of or in connection with the Materials or these terms shall not exceed the price paid for the relevant Materials. We shall not be liable for any indirect or consequential loss, loss of profit, loss of business, loss of anticipated savings or loss of data.

If you are a consumer, we are responsible for losses you suffer which are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for business losses.

Nothing in these terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

9. Ending the licence

Your licence ends automatically if you breach these terms. If it ends, you must stop using the Materials and delete all copies, including adapted versions.

10. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
